CARVE-OUTS & SEPARATIONS

From Separation Complexity to Standalone Success.

Design and execute carve-outs and Day-1 readiness programs while minimizing disruption and preserving business continuity. Our custom Claude AI agents map the entanglement across systems, contracts and services in days, and senior consultants turn it into a Day 1 plan that holds. Small and mid-cap companies in Germany, DACH, Europe and internationally.

Qualified requests receive a first proposal within 24 hours.

What we offer

Separation blueprint and Day 1 readiness

Perimeter, entanglement map, separation plan and cut-over preparation. What has to work on Day 1, what can follow later, and who owns each step.

SAP ERP and application separation playbooks, infrastructure, data and licences, cut-over rehearsals. The workstream that usually sets the critical path.

TSA design, negotiation and exit

Service catalogue, pricing and exit triggers, plus a Day 30, 100 and 180 exit roadmap so transition services end on time instead of becoming permanent cost.

Week 2 to 4

Separation blueprint and judgement. Deal-tested consultants turn the map into a carve-out blueprint, a priced TSA exit plan and a Day 1 cut-over the organisation can actually run.

72 hours

First insights. You receive the entanglement map, the critical path and a first view of what Day 1 really requires, including the open questions that decide the timeline.

Day 1

AI entanglement scan. Our custom Claude assessment agents read the application landscape, contracts, service catalogues and organisational data, and map what is shared between the business and its parent.

How we work

AI first, then human judgement

Our custom Claude agents map the entanglement in days, not weeks, and they read every document the same way every time. Senior consultants then make the calls that carry the risk. That is why we are faster than a traditional firm, and why the answer is sharper.

Case studies

Situation

A global automotive group was divesting a business unit. IT, SAP ERP and dozens of applications had to be separated across Europe, APAC and the Americas without disrupting daily operations.

What we did

Built the separation blueprint and the escalation model, aligned regional CIOs in global workshops and ran the carve-out office through to cut-over.

Result

A clean Day 1 across 30 locations worldwide, followed by a Day 90 and Day 180 roadmap for stabilisation.

Situation

An industrial manufacturer was acquiring a carved-out business across Germany, Japan and the United States. Closing had already slipped and the transition services were priced at a level nobody could defend.

What we did

Ran the TSA negotiation workshops, reviewed and revised more than 50 IT TSA items, and built the Day 30, 100 and 180 exit roadmap with owners and dates.

Result

Closing completed within four months of the delay, and more than USD 1.5 million of transition service cost taken out of the deal.

Situation

A private equity owner was separating an industrial production business from its former parent. The ERP and application estate was shared and the Day 1 date was fixed.

What we did

Led the IT carve-out team, built the Day 1 blueprint and cut-over preparation, and wrote the SAP ERP and application separation playbooks.

Result

Day 1 went live with no critical issues, and the playbooks were reused on the next separation.

Planning a separation or buying a carve-out?

Whether Day 1 is already fixed or the perimeter is still open, the first conversation is about what decides your timeline: what is entangled, what has to work on Day 1 and where the transition services will hurt. Qualified requests receive a first proposal within 24 hours.

LESSONS FROM COMPLEX SEPARATIONS

What actually decides a carve-out

01

Set up a separation office from day one. Someone has to own the perimeter, the plan and the escalation path. Without a dedicated carve-out office, separation becomes everyone’s second priority.

02

Alignment and transparency beat reporting. Buyer, seller and the separating business need the same picture of what is entangled. Most disputes come from asymmetric information, not from bad intent.

03

The business still has to run. Separation work lands on the same people who deliver the day job, and there are never enough of them. Plan the capacity honestly or the plan slips.

04

IT and ERP are usually the bottleneck. The SAP and application estate sets the critical path. Separation work on IT should start before the deal is announced, not after.

05

Day 1 is about continuity, not completeness. A smooth Day 1 with no business disruption is worth more than a perfect target state. Everything that can follow later, should.

“A carve-out is not an IT project and not a legal exercise. It is running the business and rebuilding it at the same time, with the people you already have.”
